Background:
Greg is a graduate of the University of Texas School of Law (J.D. 1991), and the Southern Methodist University School of Engineering (B.S. 1986). Greg started his legal career as an associate at Bracewell & Patterson in Houston, Texas; and he later moved to Compaq Computer Corporation and Enron Corporation. He has extensive experience in all types of commercial transactions including corporate finance, securities, antitrust, technology licensing, new technology development, non-disclosure and confidentiality terms, corporate merger/acquisitions, improved and unimproved commercial real estate transactions, and manufacturing outsourcing arrangements.
Greg was an Associate General Counsel and Assistant Corporate Secretary for Compaq Computer Corporation. In this position, Greg served as in-house counsel working closely with the Compaq Office of the General Counsel and the Compaq senior management team to provide counsel and advice on the development of strategies for (i) antitrust matters; (ii) corporate finance matters; (iii) technology transactions; and (iv) equity investment, joint venture, and corporate merger/acquisition transactions. Prior to becoming an Associate General Counsel, Greg held several Senior Attorney positions in which he provided worldwide legal support for Compaq's Supply Chain Management Division and Enterprise Computing Group. His various responsibilities as a Senior Attorney for Compaq included (i) the preparation and negotiation of marketing, procurement, technology licensing and development, and confidentiality agreements; and, (ii) the structuring of various transactions such as corporate finance transactions, equity investment transactions, mergers/acquisitions, and manufacturing outsourcing arrangements. His prior responsibilities at Compaq also included the providing of legal support for general corporate governance matters, including SEC compliance and filings, as well as worldwide real estate transactions, including the preparation and negotiation of lease agreements and real property acquisition agreements.
Part of Greg's tenure at Compaq included working for one year on an assignment outside of the legal realm in Compaq's Corporate Development Group. During this tenure, Greg developed and implemented Compaq's strategic directives with respect to the identification of technology companies for venture capital investments and merger/acquisition targets. He also managed business teams that were responsible for analyzing and presenting to the Compaq senior management team investment opportunities with respect to joint ventures, venture capital investments and mergers/acquisitions.
After leaving Compaq, Greg joined Enron Corp. as an Assistant General Counsel. Prior to Enron's bankruptcy filing, Greg acted as in-house counsel providing legal support for Enron's retail energy marketing operations. Subsequent to Enron's bankruptcy filing, Greg managed a special task force team to develop and manage processes for responding to various US governmental agency (including SEC, FERC, CFTC and DOJ) investigations, hearings and subpoenas concerning Enron's collapse. He also assisted the post-bankruptcy Enron senior management team in complying with the newly created Sarbanes-Oxley corporate governance legislation, and the creation of Enron's post-bankruptcy plan or reorganization.
Greg also served as Vice President and General Counsel of Petroci USA, Inc. Petroci USA is a Texas company that is the United States based wholly-owned independent subsidiary of Petroci Holdings, the fully state-owned national oil company of the Republic of Cote d'Ivoire, Africa. Petroci USA is engaged in the acquisition of proved developed natural gas and oil properties primarily in the Gulf Coast States of the United States – South Texas, South Louisiana, and Mississippi. In his role as General Counsel of Petroci USA, Greg managed all legal matters related to the company's business, including all commercial transactions, natural oil and gas property matters, corporate governance issues, litigation matters, labor and employment, customs & trade and international taxation.
